Abstract: La realidad demuestra que muchos profesionales del Derecho, incluidos los mismos jueces, no tienen suficientemente claros los contornos que delimitan las figuras del administrador de hecho y del representante del administrador persona jurídica, cayendo en ocasiones en el error de pensar que la actuación del representante puede ser calificada en algún momento de administración fáctica. A fin de arrojar algo de luz sobre esta confusión, exponemos las semejanzas y diferencias entre ambas formas de administración, dejando claro que, si bien existen similitudes, también gozan de importantes diferencias que conducen a la afirmación que da título a este pequeño estudio.
The reality shows that many legal professionals, including the judges themselves, are not sufficiently clear about the outlines that delimit the figures of the de facto director and the representative of the legal entity director, sometimes falling into the mistake of thinking that the performance of the representative can be qualified at some time of factual administration. In order to shed some light on this confusion, we expose the similarities and differences between both forms of administration, making it clear that, although there are similarities, they also enjoy important differences that lead to the statement that gives title to this small study.
