Pactos con trascendencia sucesoria en la sociedad civil

Abstract

La disolución de la sociedad a causa de la muerte de un socio puede evitarse si se pacta previamente que la sociedad continúe entre los socios sobrevivientes o con el heredero del socio fallecido. En el presente trabajo se pretende analizar, en el marco de la sociedad civil, algunas cuestiones y problemas que plantean estos pactos; en particular, si podrían considerarse contrarios a la regla prevista en el artículo 1271.2 CC que prohíbe los pactos sucesorios y, en su caso, si son admisibles como excepciones a dicha regla.

Under Spanish law, the death of an associate of a Civil Company causes the dissolution of the society. This can be avoided if the partners previously agree that the society will continue between the surviving partners or between them and the heir of the deceased partner. This paper aims to analyze, in the scope of the Civil Company, some issues and problems of these agreements. In particular, it discusses whether they could be considered contrary to the rule imposed by article 1271.2 Civil Code, which prohibits agreements on succession, and if so, whether they fall under an exception to this rule.
